<p><strong>TERMS AND CONDITIONS</strong></p>
<p>A credit card on file with <a name="_Hlk74577965"></a><em>Corporate Events New England </em>is required for all exhibitor orders. Orders received without full payment or credit card information will NOT be processed</p>
<p><strong>Payment by company check: </strong>Advance charges may be paid by company check, but a credit card is still required to be on file. Checks must be drawn on a US bank, in US funds only. Please reference the event name on your check. Purchase orders are not considered payment.</p>
<p><strong>Tax Exempt:</strong> If you are exempt from paying sales tax, you must forward a tax exemption certificate from the state the services are to be rendered.</p>
<p><strong>Terms:</strong> Due upon receipt. Account balances over 30 days are subject to a 1.5% per month finance charge, plus applicable collection costs and attorney fees. A $25.00 service charge will be added your account if credit card is declined or if any checks are returned. All adjustments to charges are to be made prior to event close. No credits will be issued after the close of show.</p>
<p><strong>Charges</strong>: All charges are reviewed and verified by <em>Corporate Events New England </em>before a charge is placed on your credit card. Material Handling, labor and other service charges are estimated in advance of the show. You may have additional charges added based on additional material handling or labor charges.</p>
<p><strong> </strong></p>
<p><strong>THIRD PARTY</strong></p>
<p>By signing the Third Party Payment Authorization form, the exhibitor agrees that they are primarily responsible for payment of charges. In the event the named third party fails to pay all charges, such charges will be paid by the exhibiting firm on demand, including any and all fees connected with the collection of this account. By approving the Third Party form, you are agreeing to the Full Terms and Conditions as well as those expressed above.</p>
<p> </p>
<p><strong>FURNITURE</strong></p>
<p><strong>Rental:</strong> Booth furnishings and accessories are for rental use only during the show and include delivery to and removal from the booth. Equipment is on a rental basis and remains the property of <em>Corporate Events New England</em>.</p>
<p><strong>Cancellation Policy:</strong> Items ordered & delivered to booth but subsequently canceled will be charged at 50% of price. All adjustments to charges are to be made prior to event close. No credits will be issued after the close of show.</p>
<p><strong>Item Color:</strong> To guarantee item or color, orders must be received 14 days prior to event</p>
<p><strong>Safety:</strong> Standing on chairs, tables or other rental furniture is prohibited. This furniture is not engineered to support your standing weights<em> Corporate Events New England </em>cannot be responsible for injuries from falls or otherwise caused by the improper use of this furniture.</p>
<p><strong>Miscellaneous:</strong> On site orders are dependent upon availability. Rental items missing from booth at close of show are the responsibility of the exhibitor. Plants not in booth at close of show will be charged at twice the rental price.</p>

<p><strong>MATERIAL HANDLING/FREIGHT</strong></p>
<p>All inbound common carrier, van line or air freight charges are the sole responsibility of the exhibiting company.</p>
<p><strong>Rates and weight:</strong> Material Handling rates are based on incoming weight only, whether the services are used completely or in part. All weights are taken from INBOUND BILL-OF-LADING and subject to reweighing by <em>Corporate Events New England</em>. Shipments arriving without a bill-of-lading will be assigned a weight by <em>Corporate Events New England</em>.</p>
<p><strong>Special Handling: </strong>Uncrated, unskidded or unwrapped shipments, non-standard carriers (including UPS and FedEx), or crated shipments that require special handling will be charged an additional 30% to above rates.</p>
<p><strong>Overtime:</strong> hours are Monday through Friday, before 8:00 AM and after 4:30 PM; anytime Saturday, Sunday and observed holidays; additionally, when warehouse freight is moved into or out of exhibit site on overtime. All handling performed on overtime will be charged an additional 30%each way.</p>
<p><strong>Late Delivery:</strong> Shipments received at the warehouse less than one week prior to show move-in day will be charged an additional $7.00 per cwt, $50.00 minimum. Deliveries made to the warehouse after exhibitor move-in has started will be billed an additional charge for delivery to show site.</p>
<p><strong>Early Delivery:</strong> Shipments received at the warehouse over 30 days prior to show move-in day will be charged an additional $7.00 per cwt, $50.00 minimum.</p>
<p><strong>Return to Warehouse:</strong> Shipments returned to <em>Corporate Events New England</em> warehouse at close of show for reforwarding or storage will be charged an additional $10.00 per cwt, $75.00 minimum<strong>.</strong></p>
<p><strong>Shipments arriving without advance written order:</strong> will automatically be handled and charged as described herein and the consignment or delivery of a shipment to <em>Corporate Events New England </em>by an exhibitor (and/or other shipper acting on behalf of an exhibitor) shall be construed as an acceptance of the terms and conditions set forth herein.</p>
<p><strong>Outbound Shipments:</strong> All freight will be shipped third party, prepaid at the close of the show. If you want to ship your freight by any other means, it will be your responsibility to make ALL arrangements. Freight being handled by an outside carrier must be picked up at break of show during the specified times.</p>
<p><strong>Outbound Material Handling Agreement (MHA</strong>)<strong>: </strong>A MHA must be filled out and returned to the Exhibitor Service Desk for each shipment. If designated carriers are to be used, the exhibitor must make those arrangements directly with the carrier. If designated carrier fails to arrive at show site by carrier check in time, shipment will be re-routed onto house carrier. If no return information is provided, freight will be returned to warehouse and storage charges will be applied.</p>
<p><strong>Abandoned exhibit materials at close of show:</strong> left without reforwarding instructions will be shipped out or returned to our warehouse at the discretion of <em>Corporate Events New England</em>. Exhibitors whose freight is returned to the warehouse will be contacted by <em>Corporate Events New England</em>. NO LIABILITY WILL BE ASSUMED AS A RESULT OF SUCH RE-ROUTING OR HANDLING.</p>

<p><strong>LIABILITYAND INSURANCE BULLETIN</strong></p>
<ul>
<li><em>Corporate Events New England </em>shall not be responsible for damage to uncrated or loose materials, improperly packed materials or concealed damage. Crates and packaging should be of a design to adequately protect the contents for handling by forklifts or similar means.</li>
<li><em>Corporate Events New England </em>shall not be responsible for loss, theft or disappearance of exhibitor's material after same have been delivered to the exhibitor's booth.</li>
<li><em>Corporate Events New England </em>shall not be responsible for loss, theft or disappearance of materials before they are picked up from exhibitor's booth for re-loading after the show. Bills of lading covering outgoing shipments which are furnished to <em>Corporate Events New England </em>by exhibitors will be checked at time of actual pickup from booth and corrections made where discrepancies occur.</li>
<li> <em>Corporate Events New England </em>shall not be responsible for loss, damage or delay due to fire, Act of God, strikes, lockouts or work stoppages of any kind or to any causes beyond its control.</li>
<li><em>Corporate Events New England </em>is not a motor carrier or broker and does not perform transportation or brokerage services. With respect to any request for transportation by the exhibitor, <em>Corporate Events New England </em>will refer exhibitor’s request to a transportation broker, who will arrange for the transportation of exhibitor’s booth via duly registered motor carriers. <em>Corporate Events New England </em>is not a party to any bills of lading issued by motor carriers to exhibitor for the transportation of exhibitor’s booth or goods, and the terms of any bills of lading shall be determined as between the motor carrier and exhibitor. Under no circumstances will <em>Corporate Events New England </em>have any liability for loss, damage, or delay to any shipment caused by or resulting from the transportation services of a motor carrier.</li>
</ul>
<p><strong>Damage to Shipments: </strong><em>Corporate Events New England </em>liability shall be limited to the physical loss or damage to the specific article which is lost or damaged and in any event <em>Corporate Events New England’s </em>maximum liability shall be limited to $0.30 per pound, maximum $50.00 per claim. <em>Corporate Events New England </em>shall not be liable to any extent whatsoever, for any actual, potential or assumed loss of profits or revenues, or for any collateral costs, which may result from any loss or damage to an exhibitor's materials which may make it impossible or impractical to exhibit same.</p>
<p><strong>Insurance: </strong>It is understood that <em>Corporate Events New England </em>is not an insurer, that insurance, if any, should be obtained by the exhibitor. It is suggested that exhibitors arrange all risk coverage. This can be done by endorsements to existing policies. Exhibitor's materials should be insured from the time that they leave their firm until they are returned after the close of the Show. The consignment or delivery of a shipment to <em>Corporate Events New England </em>by an exhibitor, or by any shipper on behalf of the exhibitor, shall be construed as an acceptance by such exhibitor (and/or other shipper) of the terms and conditions set forth in this Bulletin.</p>

<p><strong>LABOR</strong></p>
<p><strong>Hourly rules: </strong>One-hour minimum charge per man. One-hour minimum charge per man if not canceled with 24-hour notice<strong>. </strong>One-hour minimum charge per laborer for failure to check-in at specified time. Starting time can be guaranteed only in those instances where men are requested for the start of the working day, 8:00 AM.</p>
<p><strong>Overtime: </strong>hours are Monday through Friday, before 8:00 AM and after 4:30 PM; anytime Saturday, Sunday and observed holidays.</p>
<p><strong>Supervision:</strong></p>
<ol>
<li><strong>Exhibitor Supervision</strong>: All work is performed under the supervision of the Exhibitor. The exhibitor representative must CHECK-IN at the <em>Corporate Events New England </em>service desk to pick-up labor ordered and must CHECK OUT labor at the <em>Corporate Events New England </em>service desk upon completion of the work. <em>Corporate Events New England </em>is not allowed to proceed without exhibitor representative.</li>
<li><strong><em>Corporate Events New England </em></strong><strong>Supervision*: </strong>All work is done under the direction of <em>Corporate Events New England </em>personnel. Our charge for this service is 30% of your total labor bill. ($45.00 minimum). *In order to complete the work without your representative present, we must have set-up instructions! We must also have an outbound bill of lading provided and/or turned into the <em>Corporate Events New England </em>Exhibitor Service Desk.</li>
</ol>
<p><strong>Liability: </strong>Your Company is encouraged to carry insurance covering potential damages or loss associated with your display. <em>Corporate Events New England </em>will NOT be responsible for damage or loss of display materials. In any case, the liability of <em>Corporate Events New England </em>will be limited to a maximum of 50% of the total labor bill, not to exceed $1,000.</p>

<p><strong>ACCEPT TERMS</strong></p>
<p><strong>With acceptance of these Terms and Conditions, exhibitor authorizes Corporate Events New England to charge any additional amounts incurred by either their show representative or themselves, including material handling and labor charges.</strong></p>

<p>This Privacy Policy (the “Policy”) governs the manner in which CorpEvents New England collects, uses, maintains, and discloses information collected from you in connection with the CorpEvents New England online storefront.</p>

<p>CorpEvents New England may collect and store information about you and/or your business including your or your business’s name, email address, phone number, mailing address, accounting transaction data, payment or other financial information, aggregate transaction data, customer sales and order information, third-party data, business data, browser data, devices used, technical information about your means of connection to applications, and any other information or data submitted by you or third parties in connection with our Software Services, Storefronts, or other services rendered pursuant to the Agreement (the “Information”).</p>
<p><strong><span style="text-decoration: underline;">Information Use</span></strong></p>
<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>CorpEvents New England will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. CorpEvents New England may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of CorpEvents New England’s products and services as part of commercial transactions with third parties to help CorpEvents New England improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>CorpEvents New England may use third-party service providers and vendors to assist CorpEvents New England in providing its products and services to you and others, including, without limitation, services to host CorpEvents New England’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. CorpEvents New England may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, CorpEvents New England in providing Software Services and other services pursuant to the Agreement.</p>
<p>CorpEvents New England may disclose your Information as CorpEvents New England reasonably believes is required by court order, governmental directive, or other law, to protect the rights of CorpEvents New England, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>CorpEvents New England will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although CorpEvents New England will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of CorpEvents New England to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
